“Practice Opportunity” refers to an Associate Position within, a Partial Sale of or a Complete Sale of an orthodontic practice provided by a Registered Seller;

“Registered Seller” refers to any individual who has agreed to offer a Practice Opportunity to Registered Buyers within Ziegler Practice Transitions’ Free Practice Matching Assistance Program (hereinafter referred to as the “Program”);

“Registered Buyer” refers to the particular individual who completes the Buyer Registration Form in conjunction with the Digital Signature of this Agreement; and

“Digital Signature” refers to the action of checking the box associated with the language stating that the Registered Buyer has read and agreed to the terms and conditions of this General Non-Disclosure Agreement. That check box is located at the bottom of the Buyer Registration Form. Agreeing to the terms and conditions of this General Non-Disclosure Agreement is a requirement for a Registered Buyer’s participation in the Program.

TERMS AND CONDITIONS

Registered Buyer agrees that any information provided by any Registered Seller or Ziegler Practice Transitions, Ltd. (hereinafter referred to as “ZPT”) is strictly confidential.

Registered Buyer agrees not to disclose any information regarding any Registered Seller or any Registered Seller’s practice(s) to anyone other than a spouse, immediate family member or agent, such as a personal attorney, accountant or financial advisor, for the sole purpose of making a decision of whether or not to continue to pursue the Practice Opportunity. This restriction includes the forwarding of any General Notice of Practice Opportunities e-mails or any Practice Opportunity Details e-mails sent by ZPT.

Registered Buyer also agrees not to make copies of any information, ideas, procedures, practice opportunities, programs, concepts, contracts, summaries, and/or other data conveyed and entrusted to Registered Buyer by a particular Registered Seller or by ZPT on behalf of a particular Registered Seller, without written consent from that particular Registered Seller.

Registered Buyer agrees that upon request by a particular Registered Seller or ZPT, all summaries and other confidential information pertaining to that particular Registered Seller will be returned immediately to that particular Registered Seller or ZPT.
