Single Representation of the Buyer

When the Seller has independent counsel representing him/her and that attorney will draft the transition documents, the Buyer will need an independent advisor as well. When representing the Buyer’s interest alone, we will be handling all aspects of the negotiations with the Seller’s attorneys. We will educate the Buyer with regard to the options available and the consequences of those options with respect to the overall transition. We will consult with the practice accountant and attorney to make sure the plan meets their requirements as well.

Our fees for Buyer Representation services will be billed at the rate of $350 per hour with maximum limits. These maximum limits exist to protect the Buyer from excessive fees resulting from a particularly difficult negotiation process. When a maximum limit has been reached, we will continue to review the documents and advise the Buyer; however, we will not continue to bill for that specific service. Monthly invoices will be mailed detailing the work done to date.

Note: Since Buyers, typically, are still in school when the transition negotiations begin, our fees for Buyer Representation only become due once the Buyer has graduated and begun working. Payments may be made over time if necessary.

The maximum fees for Buyer Representation are as follows:

Review of the Purchase & Sale Documents $6,000 (maximum)
Total Cost $9,000 (maximum)

* If your transition does not involve an Associate Period or a Post-closing Employment Period for the Seller, then there will be no Employment Agreements for us to review. The fee for reviewing the Employment Agreements exists only if your transition requires one. Reviewing all of the Employment Agreements required for your transition is included in this one fee.
